Streamcord Partners Agreement

Thanks for your consideration of applying to become a Streamcord Partner! Before sending in your application, please ensure that you have read this entire document (the “Terms”, “Agreement”), as it governs the terms of your (aka. “you”, “end-user”) partnership with Streamcord (aka. “us”, “we”, “company”).
Any otherwise private software, including Streamcord Pro, is referred to as the “product”.
At times, we may share certain proprietary information about the product, that is a valuable trade secret of Streamcord. This includes, but is not limited to, text, audio, or video denoting unreleased aspects or features of the product. You agree to not, without our prior written consent, disclose any information about the product, its design, or its existence.
Master Subscription Agreement
You are granted, by the company, a revocable, non-transferable license to the product, bound to your acceptance of these terms. At any time, the company may, with or without notice, terminate your license for any reason we deem a breach of these terms.
At times, we may use text, audio, video, or images created by you (aka. “Your Content”), including, but not limited to: channel banners, profile pictures, and footage of livestreams. You agree to give the Company a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate Your Content for any of the following purposes:
- Marketing. We may use Your Content to promote the company, or the product, through advertisements, videos, and social media.
- In-website content. We may use Your Content on any of our websites related to the product in order to showcase our affiliation with you.
You retain all copyright belonging to Your Content.
You agree to include a pre-designated image on the Twitch (https://twitch.tv) page that you applied with (aka. “Your Channel”). The image must include a pre-designated hyperlink to the Company’s websites. Removing, recoloring, resizing, distorting, or other modification of this image from Your Channel, without prior written consent from the Company, may be grounds for a termination of your partnership.
You agree to stream for at least two hours on Your Channel every calendar month.
The Company reserves the right to terminate or suspend this agreement at any time, with or without cause or notice to you.
If a court finds any provision of these Terms invalid or unenforceable, the remainder of these Terms shall be interpreted so as to best affect the intent of the parties.
These Terms express the complete understanding of the parties with respect to the subject matter and supersedes all prior proposals, agreements, representations, and understandings.
The failure to exercise any right provided in these Terms shall not be a waiver of prior or subsequent rights.
- Injunctive relief:
The parties agree that in the event of a breach of any provision of this Agreement,
the aggrieved party may be without an adequate remedy at law.
You and the Company therefore agree that in the event of a breach of any provision of this Agreement,
the aggrieved party will be entitled to obtain in any court of competent jurisdiction a decree of specific performance or to enjoin the continuing breach of such provision,
in each case without the requirement that a bond be posted,
as well as to obtain damages for breach of this Agreement.
By seeking or obtaining such relief,
the aggrieved party will not be precluded from seeking or obtaining any other relief to which it may be entitled.
- Attorney Fees and Expenses:
In a dispute arising out of or related to this Agreement, the prevailing party shall have the right to collect from the other party its reasonable attorney fees and costs and necessary expenditures.
- Governing Law:
This Agreement shall be governed in accordance with the laws of the State of Ohio.
The parties consent to the exclusive jurisdiction and venue of the federal and state courts located in Ohio in any action arising out of or relating to these Terms. The parties waive any other venue to which either party might be entitled by domicile or otherwise.
